Dissolutions and strike-offs

On this page 6 sections

1SRLs and other companies

A company is not closed with a single application. First it is dissolved, then liquidated, meaning the debts are paid and what is left is shared out, and finally it is struck off the Trade Register.

  • Simultaneous dissolution and liquidation. The simplest option, when the partners have agreed how to share what is left of the company and no liquidator is needed.
  • Dissolution and liquidation by a liquidator. When the company still has assets to sell or debts to pay. The liquidator handles these operations.
  • Closing a place of business. When the company stays, but you close just one location.

2The steps for an SRL

  1. Free consultationWe look at the company's situation together and choose the right option.
  2. The dissolution resolutionThe partners decide to dissolve the company, and the resolution is registered and published in the Official Gazette.
  3. LiquidationThe accounts are closed: whatever was still to be collected and paid is collected and paid, and the accountant prepares the liquidation balance sheet.
  4. Strike-offWe file the strike-off application with the Trade Register, together with the liquidation documents.

3PFA, sole proprietorship and family business

This is simpler: an application to strike off at the Trade Register, which we prepare, plus a few documents.

  • Bring your ID card and the documents you received at set-up.
  • After the strike-off, you still have to file the single tax return with ANAF (the tax authority) for that year's income.

4Just want a break?

You can suspend the company's activity for up to 3 years, without closing it, and resume it at any time. During the suspension the company stays registered and still has some obligations towards ANAF. If you don't resume the activity after the 3 years, the company can be dissolved.

5What we need from you

  • The company's registration certificate
  • ID cards of the partners or of the holder
  • For an SRL: the accounting statement from your accountant

We draft the resolutions and applications ourselves.

6Frequently asked questions

Can I close the company if it has debts?

Debts must be paid before the strike-off. If they cannot be paid, we discuss at the office which option applies, for example liquidation by a liquidator.

Which is better: suspension or strike-off?

If you think you will resume the activity, suspension keeps the company. If not, a strike-off closes the books for good.

How long does it take to close an SRL?

At least a few weeks. After the dissolution resolution is published in the Official Gazette, there is a period during which creditors can object, and the strike-off can only be requested after that.

What do I do about the employees?

Employment contracts must be terminated and closed in REVISAL before the strike-off. The accountant handles the payroll side.

What happens if I don't close the company but stop using it?

The company keeps its obligations: returns to ANAF and annual financial statements, even with no activity. If you don't file them, you risk fines, and the company can be dissolved ex officio.

Do I have to keep the documents after closing?

Yes. Accounting documents are kept after the strike-off too, some for decades, such as payroll records. Your accountant tells you what to keep and for how long.

Can I close a PFA at any time?

Yes. We file the strike-off application with the Trade Register. After the strike-off you only have to file the single tax return for that year.
