Opening a place of business

1What a place of business is

A place of business (punct de lucru) is where the company works outside its registered office: a shop, a workshop, a warehouse, an office. A company has one registered office but can have any number of places of business, anywhere.

• Place of business: an extra address where the company actually works.
• Branch (sucursală): has its own organisation but remains part of the company.
• Subsidiary (filială): a separate company controlled by the parent company.

2When you need one

• You open a shop, salon, workshop or restaurant.
• You have a warehouse or a production space.
• You have staff working at an address other than the registered office.
• The registered office is at home, but the work happens elsewhere.

3The steps

1. We agree what you'll do thereWe choose the activities (CAEN codes) for the new address.
2. We draft the documentsThe resolution setting up the place of business and the statement that the premises meet operating conditions.
3. You signYou sign the documents once: at the office, or with an electronic signature or by courier. We work with companies from all over Romania.
4. We file the applicationWe register the place of business with the Trade Register and follow it up.
5. You receive the certificateThe place of business appears on the company certificate, with its address and activities.

4Documents needed

• Title deed or rental agreement for the premises. We draft the loan-for-use agreement.
• The exact address
• The activities you'll carry out there
• The company's registration certificate

Some activities also need permits, for example the town hall's operating approval for retail and restaurants. We tell you in advance what applies.

5Moving or closing a place of business

Same process: the partners decide to move or close it, and we register the change with the Trade Register. When closing, the company stays active; only that address is removed. Bring the company's registration certificate.
