Changing the director

1What the director does

The director (administrator) runs the company day to day and represents it: signs contracts, bank and ANAF documents. They can be a partner or someone else, including a foreign citizen. A company can have one or more directors.

2What you can do

• Appoint a new director, replacing the old one or alongside them.
• Remove a director. The partners can do so at any time, by resolution.
• Extend the mandate of the current director before it expires.
• The director resigns. The partners then appoint someone else.

Check when the mandate expires. It's best to extend it in time so the company always has a valid representative, for example at the bank.

3The steps

1. We draft the resolutionThe resolution to appoint, remove or extend, with the mandate's duration.
2. The director's statementsThe new director signs a statement that they meet the legal conditions and gives a specimen signature.
3. You signYou sign the documents once: at the office, or with an electronic signature or by courier. We work with companies from all over Romania.
4. We file the applicationWe register the change with the Trade Register and follow it up.

• ID card of the new director (or passport, for a foreigner)
• The period of the mandate
• The company's registration certificate
