1I want to open an SRL. Where do I start?

Before the paperwork, it helps to answer a few simple questions. If you don't have all the answers, that's fine: we work them out together at the free consultation.

  • Who are the partners? Just you, or several people, and how much each one owns.
  • Who runs the company? The director can be a partner or someone else.
  • What will it be called? Have two or three name options ready.
  • Where is the registered office? It can be your own flat.
  • What will the company do? The main activity and any secondary ones.
  • How much share capital? The minimum is 500 lei.

2Step 1: check that an SRL is the right form

An SRL (limited liability company) suits you if you want partners, plan to hire several people or want to protect your personal assets: the company is liable for its debts, not you. If you work alone and want something simple, a PFA may be a better fit. Take the 4-question “SRL or PFA?” test.

3Step 2: choose and reserve the name

The name must be different from companies already registered. It is checked and reserved at the Trade Register, and the reservation usually comes through the same or the next day. That's why it helps to have several options, in order of preference.

4Step 3: decide on the registered office

The registered office is the company's official address and decides which Trade Register office handles the file: the one in that county. It can be your home, with the title deed or rental agreement. If the property belongs to someone else, a loan-for-use agreement (comodat) is used, which we draft.

5Step 4: choose the activities (CAEN codes)

Every activity has a CAEN code. Since 2025 the CAEN Rev. 3 codes are used. You choose one main activity and any number of secondary ones. The company may only carry out registered activities, so think about what you'll be doing in a year or two as well.

6Step 5: set the share capital and the partners

The minimum share capital for a new SRL is 500 lei. The money stays with the company and can be used for its expenses. Each partner receives shares in proportion to their contribution. If annual turnover exceeds 400,000 lei, the capital must be raised to at least 5,000 lei.

7Step 6: sign the documents and file the application

We draft the articles of association, the statements (including the beneficial owner statement) and the registration application. You sign once: at the office, or with an electronic signature or by courier. Then we file the application online with the Trade Register.

8Step 7: receive the certificate and start trading

Once approved, you receive the registration certificate with the company's CUI (tax ID). Next come the bank account, an accountant and, if you hire staff, registering the contracts in REVISAL.

9Documents you need to open an SRL

  • ID cards or passports of all partners and the director
  • Three name options for the company
  • Title deed or rental agreement for the registered office (we draft the comodat)
  • The list of activities you plan to carry out
  • The share capital and how it is split between partners

10How much it costs to open an SRL

  • Share capital: at least 500 lei. It isn't a fee: the money stays with the company.
  • Our fee: we tell you at the free consultation, before we start.
  • An electronic signature is optional. You can also sign by hand and send the documents by courier.
  • After set-up: the accountant, bank fees and, if you want one, a company stamp (not mandatory).

11How long it takes

Name reservation: the same or the next day. Signing: the same day with an electronic signature, a few days by courier. Trade Register decision: usually a few working days after the complete file is submitted.

12Common mistakes

  • A name too similar to another company's, which fails the check.
  • Forgotten activities: the company can't do anything that isn't registered.
  • A document for the office that isn't in the right name or isn't signed by all owners.
  • Signatures that aren't accepted: one drawn on a phone or scanned.
  • No accountant from the first month: an SRL has tax obligations even with no income.

13Can I open an SRL on my own?

Yes. The law doesn't require you to use anyone: you can file the application yourself on the Trade Register portal. You'll need an electronic signature, correctly drafted articles of association and all the required statements. If you'd rather avoid rejections and lost time, we handle everything.
