1Before you close the company

Consider whether you want to close for good or just take a break. You have three options:

  • Closing (strike-off): the company disappears for good.
  • Suspension: the company stays, with no activity, for up to 3 years.
  • Selling: someone else takes over through a transfer of shares.

2Two routes for an SRL

  • Simultaneous dissolution and liquidation. The simplest route, when the partners agree how to share what's left and the company has no debts to pay.
  • Dissolution and liquidation by a liquidator. When the company still has assets to sell or debts to pay. The liquidator handles this.

3The steps

  1. Free consultationWe look at the company's situation together and choose the right route.
  2. Dissolution resolutionThe partners decide to dissolve; the resolution is registered and published in the Official Gazette.
  3. Creditors' periodPublication in the Official Gazette can take a while, and after it comes a period during which creditors can object. The strike-off is requested only after that.
  4. LiquidationAccounts are closed: what's owed is collected and paid, and the accountant draws up the liquidation balance sheet.
  5. Strike-offWe file the strike-off request with the liquidation documents. The company is removed from the register.

4Debts, employees and records

  • Debts must be paid before the strike-off. If they can't be, we discuss which route applies, for example liquidation by a liquidator.
  • Employees: employment contracts are terminated and closed in REVISAL before the strike-off.
  • Accounting records are kept after the strike-off, some for decades, such as payroll.

5What we need from you

  • The company's registration certificate
  • The partners' ID cards
  • The accounting position, from your accountant

We draft the resolutions and applications.

6What happens if you don't close it

An abandoned company still has obligations: tax returns and annual accounts, even with no activity. If you don't file them you risk fines and the company may be dissolved ex officio. See the obligations of a dormant company.

7Frequently asked questions

How long does it take to close an SRL?

A few months. It depends mainly on how long it takes for the dissolution resolution to be published in the Official Gazette. After publication comes the period during which creditors can object, and the strike-off can only be requested after that.

Can I close a company with debts?

Debts must be paid before the strike-off. If they can't be, we discuss which route applies.

Suspension or strike-off?

If you think you'll resume, suspension keeps the company. If not, a strike-off closes everything for good.

Can I close the company online?

Yes. We prepare the documents, you sign from home and we file them with the Trade Register.

How do I close a PFA?

Much more simply, with a single request. See how to close a PFA.
