1Obligations of a company with no activity
- It still files returns with ANAF, even nil ones.
- It prepares and files annual accounts.
- It still needs an accountant for returns and accounts.
- Its registered office must be covered by a valid document and its director must have a valid mandate.
2What you risk by leaving it
- Fines for unfiled returns.
- ANAF may declare the company inactive, so its invoices are no longer recognised for tax by partners.
- The company may be dissolved ex officio, which can cause trouble for the partners later.
3The three options
- Suspension: pause the company for up to 3 years and resume any time. Right if you want to use it again.
- Selling: a company with a clean history may interest someone else, through a transfer of shares.
- Closing: if you no longer need it, close it for good and end the obligations.
4How to choose
If you think you'll trade again in the next few years, suspension is usually simplest. If not, closing saves you the monthly costs. We look at the company together at the free consultation and tell you which option costs you least.
5Frequently asked questions
Does a dormant company pay tax?
With no income it usually pays no income or profit tax, but it still has returns to file. Your accountant tells you exactly.
Can I drop the accountant if I'm not trading?
Not advisable: returns and annual accounts still have to be filed.
Which is cheaper: suspension or closing?
It depends how long you want to keep it. In the long run, an unused company costs more than closing it.
