1When suspension makes sense

  • You have no clients for a while but want to keep the company.
  • You're moving abroad or taking a job for some time.
  • You're waiting for a permit, premises or funding before starting.

2The steps

  1. We draft the documentsThe suspension resolution and the statement that the company won't trade during this period.
  2. You signYou sign the documents once: at the office, or with an electronic signature or by courier. We work with companies from all over Romania.
  3. We file the applicationWe register the suspension with the Trade Register, from the date you choose.
  4. ResumingWhen you want to restart, we file the request to resume activity.

3Obligations during suspension

  • The company remains registered and still has some obligations to ANAF. Your accountant tells you exactly what to file.
  • If the company is VAT-registered, its VAT registration is usually cancelled during suspension.
  • If you have employees, we discuss what happens to their contracts first.
  • If activity isn't resumed after 3 years, the company may be dissolved.

Can I suspend a PFA?

Yes. A PFA, sole proprietorship or family business can also be suspended.

How long can a company be suspended?

Up to 3 years. You can resume at any time before that.

If you think you'll resume, suspension keeps the company. If not, a strike-off closes everything for good.

Do I still need an accountant?

Usually yes, as the company still has some returns to file. Your accountant tells you what remains.

How do I resume?
